General Terms

1. Agreement scope
These General Terms govern access to public materials on focus-pointx.one and any written engagement letter executed with Focus Pointx ("Focus Pointx", "we", "us"). Conflicting terms in a signed statement of work prevail for that engagement.
2. Services description
Focus Pointx provides advisory studies, facilitated workshops, diligence-style reviews, and documentation deliverables. Outputs are professional opinions based on provided access and timeboxed sampling — not exhaustive audits unless expressly contracted.
3. Client responsibilities
You provide timely access to repositories, systems, and stakeholders we reasonably request. You maintain backups, security controls, and approvals for any production-impacting activities. You warrant that shared materials do not violate third-party obligations known to you.
4. Intellectual property
Pre-existing materials remain with each party. Deliverables created specifically for you transfer upon settled payment unless otherwise stated. Focus Pointx may reuse anonymized methodologies and templates that do not disclose your confidential specifics.
5. Confidentiality
Both parties protect non-public information using reasonable care. Exceptions include information that becomes public without breach, was already known, or must be disclosed by lawful order (with prompt notice when permitted).
6. Liability limits
To the maximum extent permitted under Republic of Korea law, Focus Pointx aggregate liability arising from any engagement is limited to the fees paid for that engagement during the six months preceding the claim. We are not liable for indirect, incidental, or consequential damages except where mandatory law states otherwise.
7. Governing law and disputes
These terms are governed by the laws of the Republic of Korea without regard to conflict-of-law rules. Parties submit to the jurisdiction of courts located in Seoul, Korea, unless a signed engagement letter specifies a different venue mutually agreed.
8. Termination and survival
Either party may terminate for material breach not cured within thirty (30) days of written notice. Fees for completed milestones remain payable. Sections on confidentiality, liability limits, and governing law survive termination.
9. Modifications to online terms
We may update these General Terms for website usage. Material updates note a fresh “Last updated” date at the top of this page. Continued use after posting constitutes acceptance of website-specific changes; signed engagements remain governed by their statements of work.
